
Christmas Mini Sessions Terms of Services Agreement
By scheduling a Christmas Mini Session with Chestnut Ridge Photography, the Client agrees to the Service Agreement detailed below.
Purpose of the Agreement
Client wishes to hire Chestnut Ridge Photography to provide photography services as detailed in this Agreement. Provider has agreed to provide such services according to the terms of this Agreement.
Terms and Services
Chestnut Ridge Photography shall provide Client with the following services and/or products:
- Approximately 15 minute photo session at agreed upon location
- Minimum 5 digital images from client’s Christmas Mini Photo Session
- Customized online gallery of clients' photograph(s)
Location and Delivery of Services
Location. The location of the clients' Christmas Mini Photo Session will take place at the following location:
18025 Chestnut Ridge Rd
South Chesterfield, VA 23803
Delivery of Services. Chestnut Ridge Photography will provide photo session services on the date and time agreed upon by both Chestnut Ridge Photography and the client(s). Chestnut Ridge Photography will deliver Clients' digital photos approximately 7-10 days after the date of Clients' Christmas Mini Photo Session, unless otherwise specified in this Agreement.
Cost, Fees and Payment
Cost. A “Session Fee” of $125 is required in order to reserve your Christmas Mini Photo Session date and time. Payment in full must be received within 48 hours after receipt of invoice, otherwise Client shall forfeit the services provided by Chestnut Ridge Photography.
The "Session Fee" is a non-refundable retainer to reserve a date and time of Client's choosing. At a minimum, Client agrees that the retainer fee fairly compensates Provider for committing to provide the Services and turning down other potential projects/clients.
Exclusivity
Exclusivity. Client understands and agrees that he or she has hired the Provider exclusive of any other service provider. In order to provide a high level of satisfaction and quality of service, no other service providers, other than any assistant or third party that Provider hires to complete the Services outlined in this Agreement, are permitted to provide the same or similar services or products, paid or unpaid, at the locations and dates specified in this Agreement.
Copyright and Licensing Notice:
The images that are being provided to you are licensed copies for any reasonable personal purposes, including but not limited to: printing, copying, emailing, and web publishing. Your license does not include use that results in financial gain, including but not limited to: advertising, stock photography, print sale profits, or resale of any nature. Your purchase of the original files releases Chestnut Ridge Photography from any liability due to loss or damage of the images, and also releases Chestnut Ridge Photography from any obligation to maintain copies of any digital file, image, or photograph. You hereby grant to Chestnut Ridge Photography the right to use and publish images and photographs taken at your photography session to further promote its service, including portfolio, web site, display, advertisement, and editorial use. Chestnut Ridge Photography agrees to limit the use of these images and photographs to promotional use only.
Chestnut Ridge Photography may revoke this license at any time and for any reason. Chestnut Ridge Photography retains all copyrights to the images and derivative works thereof. By using any of these images, you are agreeing to the above terms.
Artistic Release
Style. Client has spent a satisfactory amount of time reviewing Provider's work and has a reasonable expectation that Provider will perform the Services in a similar manner and style unless otherwise specified in this Agreement.
Consistency. Provider will use reasonable efforts to ensure Client's desired Services are produced in a style and manner consistent with Provider current portfolio and Provider will try to incorporate any reasonable suggestion made by Client. However, Client understands and agrees that:
Every client is different, with different tastes, budgets, and needs;
Photography services are often a subjective art and Provider has a unique vision, with an ever-evolving style and technique;
Provider will use its artistic judgment when providing Services for Client, which may not include strict adherence to Client’s suggestions;
Although Provider will use reasonable efforts to incorporate Client’s suggestions and desires when providing Client with the Services, Provider shall have final say regarding the aesthetic judgment and artistic quality of the Services;
Dissatisfaction with Provider's aesthetic judgment or artistic ability are not valid reasons for termination of this Agreement or request of any monies returned.
Limit of Liability
Maximum Damages. Client agrees that the maximum amount of damages he or she is entitled to in any claim relating to this Agreement or Services provided in this Agreement are not to exceed the Total Cost of Services provided by Provider.
Loss of Product. In the event that any or all product(s) are lost, such as damage to or loss of a component of the product necessary for final delivery, Provider shall refund Client a pro-rated portion of the Total Cost based on the amount of Services that were completed/provided against the amount of Services that were agreed to be completed/provided.
Indemnification. Client agrees to indemnify, defend and hold harmless Provider and its affiliates, employees, agents and independent contractors for any injury, property damage, liability, claim or other cause of action arising out of or related to Services and/or product(s) Provider provides to Client.
Cancellation, Rescheduling and No-Shows
Cancellation, Rescheduling of Services or No-Show Client. If rescheduling is necessary due to reasons enacted upon by Chestnut Ridge Photography, the provider will provide every attempt to reschedule and provide the exact same quality product on a different date and time. If the client requests for a reschedule, Chestnut Ridge Photography is not obligated to reschedule but will make every attempt to reschedule based on availability.
Provider has no obligation to attempt to re-book further Services to fill the void created by Client’s cancellation, rescheduling, no-show or if it becomes impossible for Provider to provide the Services due to the fault of Client (or parties related to Client), and Provider will not be obligated to refund any monies Client has previously paid towards the Total Cost.
